VUKMIR + ASSOCIATES Advise Engie on Spin-off and Sale of Construction Business to Bouygues

VUKMIR + ASSOCIATES have provided legal support for the Croatian jurisdiction to the French energy giant ENGIE in relation to spin-off and subsequent sale of ENGIE’s construction and services business to French conglomerate Bouygues in a EUR 7.1 billion deal. 

In cooperation with Herbert Smith Freehills’ Paris office, VUKMIR + ASSOCIATES have provided Croatian law legal support on all corporate, commercial, employment and regulatory aspects of the spinoff and subsequent sale of ENGIE’s construction and services business to French conglomerate Bouygues. The project covered a number of European jurisdictions, including France, Germany, Austria, Croatia, Czech Republic, Hungary and Switzerland. 

VUKMIR + ASSOCIATES’ team on the project was led by partners Tomislav Pedišić and Ivan Ćuk, and also included associates Tea Cerinski, Marko Knežević and Karlo Brekalo. The project lasted for almost 1 year. 

ENGIE is a French multinational utility company, which operates in the fields of energy transition, electricity generation and distribution, natural gas, nuclear, renewable energy and petroleum. It is one of the few players in the sector to develop expert skills in both upstream (engineering, purchasing, operation, maintenance) and downstream (waste management, dismantling) activities. Engie supplies electricity in 27 countries in Europe and 48 countries worldwide.

In the first phase of the subject project (spinoff), ENGIE has formed a separate division within its parent group covering technical services and facilities management, energy efficiency and regeneration, under the name EQUANS. The spin-off included 75,000 employees. 

In the second part of the project (acquisition), ENGIE has sold EQUANS to French giant conglomerate Bouygues in a EUR 7.1 billion deal which was published several days ago.
